1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the TapSafe website and services ("Service"), operated by York Place Solutions Ltd trading as TapSafe ("TapSafe", "we", "us"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Who may use the Service
You must be authorised by an organisation (for example a venue, employer or customer of TapSafe) to access certain parts of the Service. Accounts are for authorised personnel only; you agree to provide accurate information and keep your login details secure.
3. Description of the Service
TapSafe provides tools to record and manage incident reports, refusals of service, and related staff communications for hospitality and licensed venues. We may update, modify or discontinue features of the Service at any time without liability.
4. Acceptable use
You agree not to use the Service to:
- Upload or transmit content that is unlawful, defamatory, obscene or infringes intellectual property rights;
- Attempt to gain unauthorised access to the Service, other accounts, or systems;
- Interfere with the operation or security of the Service;
- Use automated means to scrape or harvest data from the Service without our written permission.
5. Account security and passwords
You are responsible for safeguarding credentials used to access the Service. Notify us immediately if you suspect unauthorised access. We are not liable for losses resulting from compromised accounts where you have failed to keep credentials secure.
6. Content and ownership
You retain ownership of any content you submit to the Service (for example incident reports and notes). By submitting content you grant TapSafe a non-exclusive, worldwide, royalty-free licence to store, reproduce, transmit and display that content solely for the purpose of providing the Service.
7. Third-party services and links
The Service may contain links to third-party sites or integrate with third party services. These Terms do not apply to third-party services; you use them at your own risk and should review the third party's terms and privacy policies. For authentication we use Clerk (https://clerk.com). Clerk acts as a data processor for authentication and account management and may set essential authentication cookies. 8. Fees and payment
If you access paid features, fees, billing cycles and payment terms will be set out in an order form or subscription agreement between your organisation and TapSafe. Non-payment may result in suspension or termination of service for the relevant account.
9. Suspension and termination
We may suspend or terminate access to the Service or remove content where we reasonably believe there has been a breach of these Terms, unlawful activity, or to comply with legal obligations. Termination will not relieve you of obligations incurred prior to termination, including fees.
10. Warranty disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, either express or implied. TapSafe does not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Limitation of liability
Except where prohibited by law, TapSafe's total liability arising out of or in connection with these Terms will be limited to the amount paid to TapSafe by your organisation in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special or consequential damages, including lost profits, loss of data or business interruption.
12. Indemnity
You agree to indemnify and hold TapSafe harmless from any claims, liabilities, damages and expenses arising from your violation of these Terms or your use of the Service.
13. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing.
14. Changes to these Terms
We may update these Terms from time to time. We will publish changes on this page and update the "Last updated" date. Continued use of the Service after changes indicates acceptance of the updated Terms.
